1. Acceptance of Terms

By accessing or using the CheqMate AI website, platform, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

These Terms constitute a legal agreement between you (or the entity you represent) and TalentDecrypt Private Limited (“Company,” “we,” “us”).

2. Description of Services

CheqMate AI provides AI-powered interview integrity detection and interviewer-assistance tools, including but not limited to:

• Real-time fraud and anomaly detection during video interviews.
• Behavioral analysis, gaze tracking, and environment verification.
• Trust scoring, integrity reports, and audit trails.
• Interviewer coaching and smart follow-up question generation.

3. Account Registration

To use certain features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws.
• Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
• Interfere with or disrupt the integrity or performance of the Services.
• Access the Services through automated means (bots, scrapers) without prior written consent.
• Share, resell, or sublicense access to the Services without authorization.

5. Intellectual Property

All content, features, and functionality of the Services — including software, algorithms, text, graphics, logos, and trademarks — are owned by TalentDecrypt Private Limited or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written permission.

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Services, you consent to such processing.

7. Fees and Payment

Certain Services may require payment. Fees, billing cycles, and payment terms will be specified at the time of purchase or in a separate subscription agreement. All fees are non-refundable unless otherwise stated in writing.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable.

9. Limitation of Liability

To the maximum extent permitted by law, TalentDecrypt Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of profits, data, or business opportunities.

Our total cumulative liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Services will meet your specific requirements, or that detection results will be 100% accurate in all circumstances.

11. Indemnification

You agree to indemnify and hold harmless TalentDecrypt Private Limited, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform. Continued use of the Services after changes constitutes acceptance of the revised Terms.
